Terms of Service

Agreement

By creating an account, downloading the app, or using StudyOverlay Pro, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

The service

StudyOverlay Pro is a macOS application and web portal that helps you capture on-screen content, process it with AI, and receive suggested responses. Features vary by plan (Basic or Pro). We may change, suspend, or discontinue features with reasonable notice when practicable.

Eligibility and accounts

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the service. You are responsible for keeping your login credentials confidential and for all activity under your account. One active Mac device is permitted per subscription unless otherwise stated.

Acceptable use

You agree not to:

• Use the service in violation of applicable laws, school rules, exam policies, or employer policies
• Share account credentials or circumvent device or usage limits
• Reverse engineer, scrape, or abuse the API or infrastructure
• Upload or process content you do not have the right to use
• Interfere with the security or operation of the service

You are solely responsible for ensuring your use complies with the rules of any institution, exam, or organization that applies to you.

Subscriptions and billing

Paid plans are billed monthly through Stripe. New subscriptions may include a seven-day free trial as described on the website. Unless you cancel before the trial ends, your payment method will be charged when the trial converts to a paid subscription.

You can manage billing, update payment methods, or cancel through the Stripe Customer Portal linked from your Account page. Cancellation stops future charges; access continues until the end of the current billing period unless otherwise stated.

Prices may change with notice; continued use after a price change constitutes acceptance.

Account termination

You may delete your account at any time from the Account dashboard. We may suspend or terminate accounts that violate these terms, pose security risks, or remain unpaid. Upon termination, your right to use the service ends and associated data may be deleted subject to our Privacy Policy and legal obligations.

Intellectual property

StudyOverlay Pro, its branding, software, and documentation are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the service for personal purposes while your subscription is active. You retain ownership of content you submit; you grant us a license to process that content solely to provide the service.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR ACADEMIC OR PROFESSIONAL OUTCOMES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the service, your violation of these terms, or your violation of any third-party rights or policies.

Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date. Continued use after changes constitutes acceptance. If you disagree with updated terms, stop using the service and cancel your subscription.

Governing law

These terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory local consumer protections apply.
